These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Techni-kali IT ("PDM Books", "we", "us", "our"), the operator of the PDM Books cloud accounting platform accessible at this domain.
By creating an account, clicking "Start Free Trial", accessing, or using any part of our service, you confirm that:
- You are 18 years of age or older and legally capable of entering into binding contracts.
- If you are accepting on behalf of a company or organization, you have the authority to bind that entity to these Terms.
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use PDM Books. Continued use of the service after any update to these Terms constitutes acceptance of the revised Terms.
PDM Books is a subscription-based, multi-business cloud accounting and business management platform. Depending on your subscription plan, features may include:
- Double-entry accounting, general ledger, chart of accounts, and financial reporting
- Invoicing, quotations, purchase orders, credit notes, and receipts
- Expense management and bank reconciliation
- Inventory and stock management
- HR, payroll, leave management, and timesheet tracking
- Multi-branch and multi-business management
- User management with role-based access control
- Automated email delivery (invoice, payslip, and statement sending)
Features are delivered on a module basis. Access to specific modules depends on your subscription plan. We reserve the right to add, modify, or discontinue features with reasonable notice.
To access PDM Books, you must register an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Maintain the confidentiality of your login credentials and not share them with unauthorized persons.
- Be responsible for all activity that occurs under your account, whether or not authorized by you.
- Enable two-factor authentication (2FA) for enhanced security � strongly recommended for all accounts.
- Notify us immediately at support if you suspect unauthorized access to your account.
Each user must have their own individual account credentials. Sharing a single account among multiple people is a breach of these Terms. The number of user seats available depends on your subscription plan.
We reserve the right to suspend or terminate accounts that show signs of unauthorized access, fraud, or credential sharing without prior notice.
PDM Books is offered on a subscription basis. The following terms govern all billing and payment:
- Plan selection: You choose a subscription plan at registration. Each plan has defined feature sets, user limits, and storage quotas as described on our pricing page.
- Billing cycle: Subscriptions are billed monthly or annually in advance, depending on the billing period you select.
- Automatic renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
- Payment methods: We accept major credit/debit cards and other payment methods as displayed at checkout. Payment is processed by a third-party payment processor.
- Taxes: Prices displayed may be exclusive of applicable taxes (e.g. VAT). Any applicable tax will be added and clearly shown at checkout.
- Plan changes: You may upgrade your plan at any time; the upgrade takes effect immediately with a prorated charge. Downgrades take effect at the next billing cycle.
- Failed payments: If a payment fails, we will notify you and attempt to retry. If payment is not received within 7 days of the due date, access to your account may be suspended.
- Price changes: We may change our pricing with at least 30 days written notice. Continued use after the effective date constitutes acceptance.
PDM Books may offer a free trial period for new customers. The following conditions apply:
- Free trials are available to new customers only. Each business or organization is eligible for one free trial.
- No payment information is required to start a free trial unless explicitly stated during signup.
- The trial provides access to a defined feature set and is subject to usage limits at our discretion.
- At the end of the trial period, you must select a paid plan to continue using the service. If no plan is selected, your account will be downgraded or suspended and your data retained for 30 days.
- We reserve the right to modify or terminate free trial offers at any time without prior notice.
- Data created during your trial will be available if you subscribe to a paid plan within the retention window.
Cancellation: You may cancel your subscription at any time from your account settings. Upon cancellation:
- Your subscription will remain active until the end of the current paid billing period.
- You will not be charged for subsequent billing periods.
- Your data will be retained for 90 days after the subscription end date to allow you to export or recover it.
- After 90 days, your account data will be permanently deleted.
Refunds:
- Subscription fees are generally non-refundable once a billing period has commenced.
- If you cancel within 14 days of your first paid subscription payment (not applicable to renewals), you may request a full refund, provided you have not made significant use of the service during that period.
- Refund requests must be submitted via our contact form within the applicable window.
- In cases of platform outages exceeding 24 consecutive hours within a billing period, we will issue a prorated credit at our discretion.
Note: Annual subscriptions are not eligible for partial refunds upon early cancellation. The subscription will remain active until the end of the annual period.
You agree to use PDM Books only for lawful business purposes and in compliance with all applicable laws and regulations. The following activities are strictly prohibited:
- Using the platform to process, store, or transmit fraudulent, illegal, or unlawful financial transactions or records.
- Attempting to bypass, circumvent, or disable security controls, permissions, or access controls within the platform.
- Accessing data belonging to other businesses or users that you are not authorized to access.
- Uploading malicious code, viruses, malware, or any content designed to damage or disrupt the service or other users.
- Using the platform to send spam, unsolicited communications, or phishing content.
- Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the platform.
- Reselling, sublicensing, or offering the service as a white-label product without explicit written authorization.
- Using the service for money laundering, terrorist financing, or any activity that violates financial crime laws.
- Scraping, crawling, or harvesting data from the platform without express written consent.
- Overloading the platform's infrastructure through automated scripts, bots, or high-volume API abuse.
Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.
PDM Books IP: The PDM Books platform, including all software, algorithms, interfaces, designs, branding, documentation, and underlying technology, is and remains the exclusive intellectual property of Techni-kali IT. These Terms do not transfer any ownership rights to you.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use PDM Books for your internal business purposes during the subscription term, subject to these Terms.
Feedback: If you provide feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free license to use that feedback to improve our products without any obligation to you.
Trademarks: "PDM Books", the PDM Books logo, and all associated marks are trademarks of Techni-kali IT. You may not use them without prior written consent.
Your data belongs to you. All business data you create, upload, or generate within PDM Books � including financial records, customer information, employee data, and documents � remains your property.
By using PDM Books, you grant us a limited, non-exclusive license to store, process, and transmit your data solely for the purpose of providing the service to you. We do not claim ownership of your data and will never sell it to third parties.
- Data export: You may export your data at any time using the export tools available within the platform.
- Data accuracy: You are responsible for the accuracy, legality, and completeness of all data you enter into the platform.
- Compliance: You are responsible for ensuring your use of the platform complies with applicable accounting standards, tax laws, labour regulations, and data protection laws in your jurisdiction, including where applicable the Data Protection Act, 2018 (Act No. 32 of 2018) of the Republic of Botswana.
- Backups: While we maintain regular backups, you are encouraged to export and retain independent copies of critical financial records.
Each party agrees to maintain the confidentiality of the other's confidential information and not to disclose it to third parties without prior written consent, except as required by law.
Our obligations to you:
- We will not disclose your business data, financial records, or employee information to any third party except as permitted in our Privacy Policy or required by law.
- Our staff and contractors who have access to your data are bound by confidentiality obligations.
Your obligations to us:
- You agree to keep confidential any non-public information about PDM Books' technology, pricing, business operations, or roadmap that you may become aware of.
We strive to provide a reliable, high-quality service. However, to the fullest extent permitted by applicable law:
- PDM Books is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the service will be uninterrupted, error-free, or that defects will be corrected within a specific timeframe.
- We do not warrant that PDM Books meets the specific requirements of any particular accounting standard, regulatory framework, or jurisdiction. You are responsible for verifying compliance with applicable laws.
- PDM Books is a tool to assist with accounting and business management � it does not constitute financial, tax, or legal advice. You should consult qualified professionals for such advice.
To the maximum extent permitted by applicable law:
- Techni-kali IT's total cumulative liability to you for any claims arising out of or related to these Terms or the service shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute services, even if we have been advised of the possibility of such damages.
- We shall not be liable for any damages resulting from unauthorized access to your account, data corruption, or data loss where you failed to implement reasonable security practices or maintain backups.
Some jurisdictions do not allow limitations on certain implied warranties or exclusions of certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Techni-kali IT, its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your violation of these Terms or any applicable law or regulation.
- Your use of PDM Books in a manner not authorized by these Terms.
- Any data you submit to the platform that infringes third-party rights or violates any law.
- Any dispute between you and a third party (e.g. your customers or employees) arising from your use of PDM Books.
Termination by you: You may cancel your account at any time via your account settings. See Section 6 for the effects of cancellation.
Termination by us: We may suspend or terminate your account immediately and without prior notice if:
- You materially breach these Terms and fail to remedy the breach within 7 days of written notice (where capable of remedy).
- You engage in fraudulent activity, abuse, or any illegal use of the platform.
- Your account poses a security risk to other users or the platform.
- Payment is overdue for more than 30 days after notice.
- We are required to do so by applicable law or court order.
Effect of termination: Upon termination, your right to access the service ceases immediately. Sections of these Terms that by their nature should survive (including intellectual property, confidentiality, liability limits, indemnification, and dispute resolution) shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Botswana, including but not limited to the Data Protection Act, 2018 (Act No. 32 of 2018), the Companies Act, 2003, and any other applicable Botswana legislation, without regard to conflict of law principles. Techni-kali IT is registered and operates in Botswana and is subject to oversight by the Information and Data Protection Commission (IDPC) for matters relating to personal data processing.
Informal resolution: Before initiating any formal proceedings, you agree to contact us via our contact form to describe your complaint and give us 30 days to resolve it informally. Most issues are resolved quickly this way.
Formal dispute resolution: If we are unable to resolve the dispute informally, disputes shall be submitted to the courts of competent jurisdiction in Techni-kali IT's home jurisdiction. You consent to the personal jurisdiction of such courts.
- Entire agreement: These Terms (together with our Privacy Policy and any applicable Order Form or Plan description) constitute the entire agreement between you and Techni-kali IT regarding your use of the service, superseding all prior agreements.
- Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
- Waiver: Our failure to enforce any right or provision in these Terms shall not be deemed a waiver of that right or provision in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
- Force majeure: We shall not be liable for delays or failures in performance caused by events beyond our reasonable control, including but not limited to internet outages, power failures, natural disasters, or government actions.
- Notices: Notices from us will be sent to the email address on your account. You are responsible for keeping your email address current.
- Updates to Terms: We may update these Terms with at least 14 days notice for material changes. We will notify you by email or in-app notification.
